Terms of Service

Last updated: March 22, 2026

These Terms of Service ("Terms") govern your use of the website deliotx.com and any services provided by Delio Vending & Coffee Services ("Delio," "we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms.

1. Services Overview

Delio provides break room management services — including vending machines, micro markets, coffee and water systems, office pantry programs, fresh food delivery, and smart coolers — to commercial workplaces in the Dallas-Fort Worth metropolitan area. Specific service terms, pricing, and scope are defined in individual service agreements between Delio and each client.

2. Website Use

You agree to use our website only for lawful purposes. You may not:

  • Use the site in any way that violates applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the site or its systems.
  • Transmit viruses, malware, or other harmful code.
  • Scrape, crawl, or harvest data from the site without written permission.

3. Intellectual Property

All content on this website — including text, images, logos, graphics, and code — is owned by or licensed to Delio and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

4. Service Agreements

Website content, including service descriptions and pricing references, is for informational purposes only. Actual service terms are governed by the written service agreement between Delio and each client organization. In the event of any conflict, the written service agreement takes precedence.

5. Equipment

Vending machines, micro market fixtures, coolers, coffee equipment, and other hardware installed by Delio remain the property of Delio or our equipment partners. Clients are responsible for providing adequate space, electrical access, and reasonable care of equipment as outlined in the service agreement.

6. Payment

Equipment installation and standard service are provided at no cost to the client. Revenue from vending and micro market sales funds the program. For subsidized or pantry programs where the employer covers product costs, payment terms are defined in the service agreement.

7. Limitation of Liability

To the fullest extent permitted by law, Delio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim shall not exceed the amount paid by you to Delio in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Delio, its officers, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms or misuse of our website or services.

9. Disclaimers

Our website is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the site will be uninterrupted, error-free, or free of harmful components.

Product availability, nutritional information, and pricing displayed on the website may differ from what is available at your specific location.

10. Termination

We reserve the right to restrict or terminate your access to the website at any time, without notice, for any reason. Service agreement termination is governed by the terms of your specific agreement.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas. Any disputes shall be resolved in the courts of Dallas County, Texas.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the website constitutes acceptance of the revised Terms.
